Running a good startup board
Send the board pack (MIS, key metrics, decisions needed) at least a few days before the meeting; statutory notice is 7 days under the Companies Act. Keep the meeting for decisions and strategic discussion rather than reading numbers.
Track every action item with an owner and date, and open the next meeting by reviewing them. It builds trust with investor directors faster than any presentation.
Frequently asked questions
How many board meetings must a private company hold?
At least four a year with no more than 120 days between consecutive meetings. Small companies, OPCs and dormant companies need only one meeting in each half of the calendar year, at least 90 days apart.
What is a circular resolution?
A resolution passed by circulating the draft to all directors instead of meeting. It is valid for most matters except those the Act requires at a meeting, and must be noted at the next meeting.
When must minutes be signed?
Minutes must be prepared within 30 days of the meeting and signed by the chairperson within 30 days of the meeting (or at the next meeting, depending on the case).
