Free Term Sheet Generator for Startup Investment (India)

Create a clean first draft of a term sheet in minutes. Fill in the parties, valuation, instrument, investor rights and process terms; the generator writes a numbered, non-binding term sheet using terms common in Indian venture deals.

QUICK ANSWERA term sheet is a short, mostly non-binding document that sets the main terms of an investment: valuation, amount, instrument (usually CCPS in India), liquidation preference, anti-dilution, board seats, investor rights, founder vesting and exclusivity. The binding definitive documents (SSA and SHA) follow after due diligence.

What goes into an Indian startup term sheet

Indian VC rounds usually use Compulsorily Convertible Preference Shares (CCPS) because they give investors preference on liquidation while counting as equity under FEMA. The term sheet lists the economic terms (valuation, ESOP pool, liquidation preference, anti-dilution) and the control terms (board composition, reserved matters, information rights, transfer restrictions).

Only a few clauses are binding: exclusivity, confidentiality, costs and governing law. Everything else is a statement of intent that is turned into the Share Subscription Agreement (SSA), Shareholdersโ€™ Agreement (SHA) and amended Articles.

Frequently asked questions

Is a term sheet legally binding?

Mostly not. Exclusivity, confidentiality, costs and governing law are usually binding; the investment terms become binding only in the definitive agreements.

What is a standard liquidation preference?

1x non-participating is the market norm in Indian VC: investors get their money back or their share of proceeds, whichever is higher.

How long does it take to close after a term sheet?

Typically 4โ€“8 weeks for due diligence and documentation, plus regulatory filings (FC-GPR for foreign investment, PAS-3 for allotment).
