Startup Dilution Calculator: Founder Ownership After Each Funding Round

Plan your fundraising path. Add each future round with its size, pre-money valuation and ESOP top-up and see how founder ownership, the ESOP pool and investors change round by round, plus what the foundersโ€™ stake is worth after each one.

QUICK ANSWEREach round dilutes existing shareholders by the new investorโ€™s percentage plus any new ESOP pool. Founders typically give up 15โ€“25% per round; after seed, Series A and Series B many founding teams hold roughly 35โ€“55% together. Raising at higher valuations or raising less per round reduces dilution.

How much dilution is normal?

A common rule of thumb is to sell 10โ€“20% at pre-seed and seed, about 15โ€“25% at Series A and 10โ€“20% at each later round. ESOP top-ups add a few percentage points each time. Founders who over-dilute early often have to be โ€œre-uppedโ€ with new ESOPs later.

Dilution is not bad in itself: a smaller share of a much more valuable company is worth more. Watch the value line in the table, not just the percentage, and pay attention to control terms that sit outside the cap table.

Worked example

Founders at 85% raising โ‚น4 Cr at โ‚น16 Cr pre-money (5% ESOP top-up), โ‚น20 Cr at โ‚น80 Cr pre (3%) and โ‚น60 Cr at โ‚น300 Cr pre (2%) end with about 47% after Series B, a stake worth roughly โ‚น170 Cr at that roundโ€™s post-money.

Frequently asked questions

How much equity should founders give up in a seed round?

Typically 10โ€“20%. Raising enough for 18โ€“24 months of runway while staying in that band is a common target.

Does an ESOP pool dilute founders?

Yes. Creating or topping up a pool issues new options; if it is done in the pre-money, only existing shareholders (mostly founders) are diluted.

What is founder ownership at IPO?

It varies a lot. Founders of many Indian tech IPOs held well under 20% individually after multiple rounds. Control is often protected through board composition and shareholder agreements rather than majority ownership.
