Startup Valuation Calculator (India): Pre-money Range from ARR, Growth & Margins

Estimate what your startup could be worth before you talk to investors. Enter ARR, growth, gross margin and stage; the calculator applies a sector revenue multiple, adjusts it for quality of growth and shows how much you would dilute for the amount you want to raise.

QUICK ANSWEREarly-stage startups are valued mostly on revenue multiples (for companies with revenue) or on stage benchmarks (for pre-revenue). Valuation โ‰ˆ ARR ร— sector multiple, adjusted up for fast growth, high gross margin and strong retention, and down for slow growth or low margins. Use the result as a negotiation anchor; the final number is set by investor demand.

Dilution = amount raised รท (pre-money + amount raised)

How startup valuation really works

Venture investors do not run a DCF on a seed-stage company. For companies with revenue they look at ARR (monthly revenue ร— 12) and ask what multiple similar companies raised at, then move that multiple up or down for growth, gross margin, retention and capital efficiency. SaaS companies with 70%+ gross margins command the highest multiples; D2C brands and services businesses get lower multiples because each rupee of revenue carries less gross profit.

Before revenue, valuation is a function of team, market size, product progress and competition among investors. That is why this calculator shows a stage band instead of a formula result for pre-revenue startups. In India, the valuation used for issuing shares also has to be supported by a valuation report (Rule 11UA of the Income-tax Rules, and FEMA pricing guidelines when foreign investors come in).

Worked example

A B2B SaaS startup with โ‚น3 Cr ARR, 120% year-on-year growth and 70% gross margin gets a base multiple of 8x, a growth factor of about 1.21 and a margin factor of 1.0, so an indicative mid-point near โ‚น29 Cr. Raising โ‚น5 Cr at that mid-point means giving up about 15%.

Frequently asked questions

What multiple of revenue are startups valued at in India?

It varies widely by sector, growth and market cycle. Fast-growing B2B SaaS companies have raised at roughly 6โ€“15x ARR, fintech and AI companies in a similar or higher band, marketplaces at a few times net revenue, and D2C brands at roughly 1โ€“4x revenue. Growth rate and gross margin explain most of the difference.

How do you value a pre-revenue startup?

With methods like the scorecard or Berkus method, comparable rounds and investor demand rather than a formula. Founders usually decide how much they need for 18โ€“24 months of runway and how much dilution (often 10โ€“25%) they will accept; that implies the valuation.

Is this valuation valid for issuing shares?

No. For issuing shares an Indian private company typically needs a valuation report from a registered valuer or merchant banker under Rule 11UA and, for foreign investors, FEMA pricing guidelines. This calculator is for planning and negotiation.
