Work out the issue price for a funding round. The calculator divides the pre-money valuation by fully diluted shares (including any new ESOP pool), then shows how many shares the investor gets and the securities premium over face value for your allotment filings.

Why โfully dilutedโ matters for share price
Investors price rounds on a fully diluted basis: every equity share, every option in the ESOP pool (granted or not), and every convertible instrument counts. If you divide by only the shares actually issued, the price per share comes out too high and the investor would own less than agreed.
Indian private companies typically have a face value of โน1 or โน10 per share. The rest of the issue price is securities premium, recorded in the PAS-3 return of allotment filed with the Registrar of Companies within 15 days of allotment.
Worked example
Pre-money โน40 Cr, 1,00,000 fully diluted shares, โน10 Cr investment, no new pool: price = โน4,000 per share, investor gets 25,000 shares (20%). With face value โน10, the securities premium is โน3,990 per share.
Frequently asked questions
What is the difference between issued and fully diluted shares?
Issued shares are those actually allotted. Fully diluted shares add the full ESOP pool, warrants and shares that convertibles (CCPS, CCDs, SAFEs, notes) would convert into.
Can the issue price be below fair market value?
For Indian companies, issues to residents above fair market value could historically attract angel tax (abolished from FY 2024-25), and issues to non-residents cannot be below fair value under FEMA. Get a valuation report and check with your CA.
What face value should a startup have?
Most startups use โน1 or โน10. A low face value makes it easier to issue many shares for ESOPs; it does not change valuation.
