ESOP Pool Calculator: Pre-money vs Post-money Pool Impact

Investors often ask for a bigger ESOP pool โ€œin the pre-moneyโ€. This calculator shows how big the top-up really is, how much it lowers your effective valuation and how much founder ownership you save by negotiating the pool into the post-money.

QUICK ANSWERIf a new ESOP pool is created in the pre-money, only existing shareholders are diluted and the effective pre-money falls by the poolโ€™s value. Example: a 10% pool on a โ‚น50 Cr post-money round at โ‚น40 Cr pre-money cuts the effective pre-money to โ‚น35 Cr. Size the pool to real hiring plans for the next 18โ€“24 months.

How big should the ESOP pool be?

Indian startups commonly hold 5โ€“10% for ESOPs at seed and 10โ€“15% by Series A. The right size is the sum of grants you expect to make to key hires before the next round, plus a buffer, not a number picked to look generous.

In India, ESOPs can be granted only to employees and directors (not independent directors), with a minimum one-year vesting. Promoters cannot get ESOPs, except in DPIIT-recognised startups for up to 10 years from incorporation. The scheme needs shareholder approval by special resolution.

Worked example

โ‚น40 Cr pre-money, โ‚น10 Cr investment, 12% target pool, 4% existing pool: the top-up is about 8.8% of post-money, and putting it in the pre-money lowers the effective pre-money to about โ‚น35.6 Cr.

Frequently asked questions

What is the option pool shuffle?

Requiring the new ESOP pool to be counted in the pre-money valuation, so the dilution falls only on existing shareholders and the real price per share is lower than the headline valuation suggests.

Can founders get ESOPs in India?

Promoters and directors holding more than 10% generally cannot, but DPIIT-recognised startups can grant ESOPs to promoters and such directors for up to 10 years from incorporation.

How are ESOPs taxed in India?

Generally twice: as a perquisite at exercise (fair value minus exercise price, taxed as salary) and as capital gains at sale. Eligible startups can defer the perquisite tax under the startup ESOP rules. Check with a CA.
