Pre-money vs post-money: why the difference matters
When an investor says “₹10 Cr at ₹50 Cr”, always ask whether ₹50 Cr is pre or post. At ₹50 Cr pre-money they own 16.7%; at ₹50 Cr post-money they own 20%. The difference on a single round is several percentage points of the company.
Term sheets often require a new ESOP pool to be created “in the pre-money”. That means the pool is carved out before the investor comes in, so only existing shareholders are diluted by it. The effective pre-money (headline pre-money minus the pool’s value) is the number to compare between offers.
Worked example
₹40 Cr pre-money and ₹10 Cr investment with a 10% post-money ESOP pool in the pre-money: post-money ₹50 Cr, investor 20%, pool 10%, existing holders 70%. Effective pre-money is ₹35 Cr, not ₹40 Cr.
Frequently asked questions
How do I calculate post-money valuation?
Add the new investment to the pre-money valuation. ₹30 Cr pre-money plus ₹6 Cr raised gives ₹36 Cr post-money.
How do I calculate the investor’s percentage?
Divide the investment by the post-money valuation. ₹6 Cr ÷ ₹36 Cr = 16.67%.
Does a SAFE or convertible note change pre-money?
Yes. When SAFEs or notes convert in a priced round, their shares are usually counted in the pre-money, which dilutes founders further. Use the SAFE or convertible note calculator to see the full effect.
